Terms of Service

These Terms of Service ("Terms") govern your use of the AI coding assistant API subscription service ("Service") provided by Youda AI. By purchasing an activation code or using the Service, you agree to these Terms.

1. The Service

Youda AI sells subscription access to an AI coding assistant API. Access is delivered as a single-use activation code sold through our official marketplace stores (including G2G) or authorized resellers. Upon activation, you receive a dedicated API endpoint and an independent API key for your own use.

2. Activation, Validity & Quota

• Each activation code is single-use, bound to one subscription, and non-transferable after activation.
• Subscriptions are valid for 30 days from activation, with the request quota stated in the plan you purchased.
• Only successful requests count toward your quota; failed requests are not charged. Note that AI coding tools may issue multiple API requests to complete a single task.
• Unused quota expires at the end of the subscription period and does not roll over.

3. Acceptable Use

You agree not to:

• Share, resell, or publicly expose your API key, or allow use by anyone other than yourself;
• Attempt to disrupt, overload, reverse-engineer, or gain unauthorized access to the Service or its infrastructure;
• Use the Service to generate illegal content or content that violates the underlying model providers' usage policies.

We may apply rate limits to keep the Service stable for everyone, and may suspend keys engaged in abuse.

4. Refunds

If your activation code fails to activate and our team cannot resolve the issue, you are entitled to a full refund through the marketplace's buyer protection where you purchased. Once a code has been successfully activated and used, it cannot be refunded.

5. Suspension & Termination

We may suspend or terminate a subscription without refund in the event of a material violation of these Terms (such as key sharing, resale, or attacks on the Service). Where feasible, we will contact you before taking action.

6. Availability & Disclaimer

The Service is provided "as is". We work to keep it fast and reliable, but we do not guarantee uninterrupted availability — upstream model providers' capacity and rate limits may occasionally slow responses during peak periods. To the maximum extent permitted by law, our total liability is capped at the amount you paid for your current subscription.

7. Changes to These Terms

We may update these Terms from time to time. The latest version is always published on this page, and continued use of the Service after an update constitutes acceptance.
